Running a company in Thailand requires a lot of paperwork. You have to file paperwork on behalf of your company when dealing with organizations.
The most common documents are:
- company registration forms
- BOJ 5
- meeting notes
- power of attorney
Company Registration Forms
When you deal with organizations on behalf of your company, they’ll usually ask for a recent company registration form or company affidavit. The exact validity period depends on the organization, but many ask for documents issued within the last three to six months.
You can get company registration forms at any Department of Business Development office. Fees depend on the document and service channel, but they are usually a few hundred baht. The bad part? It can take up to two hours to do so, excluding the traveling time.
The easiest way to handle this is to use the DBD e-Service website . You need to first set up your e-service account. Once that’s done, you can fill out the form online to get an e-certificate. After the payment, which can be done via mobile banking, you should typically get the e-certificate within a few hours.
However, sometimes, it may also take a day or two to get it.
Alternatively, you can pay a messenger or a motorcycle taxi to get it for you. Anyone can get a company registration form if they know the company’s name and registration ID.
You can also get company registration documents at some banks that offer DBD e-Certificate services. Fees vary by bank and service channel.
Once you get the company registration, scan and keep it on the file. When you need it, you can print, sign, and stamp it on every page.
BOJ 5
BOJ 5 is a list of shareholders. These forms are required by government organizations and banks. They can be handled the same way as company registration forms. But the cost of issuing BOJ 5 forms is usually lower than issuing company registration forms.
Meeting Notes
Meeting notes may be required when dealing with the Revenue Department and banks. You can issue them yourself. The most important part of the meeting notes is that it must contain the exact sentences required by the organization you’re dealing with.
For example, if you want to open an account with Bangkok Bank, you need to state what kind of account you want to open, who is able to sign for the account, and why you want it.
Therefore, before issuing it, ask the organization which words they want to see on the meeting notes.
Power of Attorney
Power of attorney is needed if you want to send someone on your behalf to take care of an issue for you. You can issue it yourself. Your name and address, your attorney’s name and address, and the specific purpose of the power of attorney must be specified.
You and your attorney must sign it. Many organizations also require witness signatures, sometimes from two witnesses. There’s no fixed template for a general power of attorney. You can draft it in your own style.
Some organizations, such as immigration offices, have their own specific power of attorney forms.
A signed copy of your passport and a signed copy of your attorney’s passport or Thai ID card, as applicable, are usually required with the power of attorney.
Don’t forget to strike-through a copy of your passport and state its purpose.
